[Placeholder article — review before publishing.] Registering a company in Kenya is now fully online through the Business Registration Service (BRS) on eCitizen. Here is an overview of the process and the decisions you should make before you start.
1. Choose the right structure
Most businesses register a private limited company because it separates the owners from the business and limits personal liability. Alternatives include a business name, a limited liability partnership or a company limited by guarantee.
2. Reserve your company name
Submit at least two name options for search and reservation. Names that are identical or too similar to existing names, or that include restricted words, will be rejected.
3. Prepare the registration forms
You will need the application for registration (CR1), the memorandum of association (CR2), notice of residential addresses (CR8), and beneficial ownership details.
4. Submit and pay
Once filed and paid, the Registrar reviews the application. When approved, you receive a Certificate of Incorporation and the company KRA PIN.
5. Set up for compliance
Open statutory registers, issue share certificates, register for applicable taxes and diarise your annual return.
